How to review a purchase agreement with Search+

Dates drive the risk

Many rights in a purchase agreement expire if a notice is not given by a set date. Missing one can cost a deposit, so list the dates first.

Addenda change the deal

Counteroffers and addenda often amend price, dates or contingencies. Read them with the original, not separately.

Representations and disclosures

What the seller states about the property or business, and what it discloses, can affect remedies later. Check where those statements are and how long they last.

What is a purchase agreement?

A purchase agreement is a contract in which a seller agrees to sell and a buyer agrees to buy property or assets on stated terms, including the price, conditions to closing and each party's obligations.

A letter of intent usually sets out proposed terms without binding the parties to complete the sale. A deed or bill of sale is the document that actually transfers ownership at closing.
