Find out how to end an MSA, or just one statement of work
Ending a services relationship is rarely one decision. An MSA may let either side end a single statement of work while the framework stays in place, or end the MSA while active SOWs run to completion. Termination for convenience, termination fees, exit assistance and data return all sit in different clauses. Ask Search+ each of those questions and read the cited wording from the MSA and the SOW.

How to review termination rights with Search+
- Upload the MSA and every active SOW
Add the master agreement and the statements of work you might end. Some SOWs add their own termination terms or minimum commitments.
- Ask about the MSA and each SOW separately
Ask how the MSA can be terminated, then how a single SOW can be terminated, and whether ending one ends the other.
- Ask what happens on exit
Ask about termination fees, payment for work in progress, transition assistance and return or deletion of data. Open each citation to read the obligations.
Questions about ending an MSA
Can the customer end the MSA or a SOW without cause, and with how much notice?
If the MSA is terminated, do active statements of work continue until they finish?
Is a termination fee or minimum commitment payable if a SOW ends early?
What exit or transition assistance must the vendor provide, and is it paid?
What must the vendor do with our data when the services end?
What to look for in MSA termination rights
The right to end the MSA and the right to end a SOW are often different. Ask about both and read the interaction clause.
Many MSAs say that SOWs in progress survive termination of the MSA and stay governed by its terms until they end.
Committed spend or minimum terms in a SOW can turn an early exit into a payment obligation.
Transition services, knowledge transfer and data return are often promised in general terms and priced at the rate card. Check what is actually required.
Ask across the MSA and its SOWs at once and the answer cites each document it draws on.
Termination wording and what to ask
| Wording you may see | What it usually signals | A follow-up question |
|---|---|---|
| "terminate this Agreement or any SOW for convenience" | Exit without cause | Who holds the right and with what notice? |
| "any SOW then in effect shall continue" | SOWs survive MSA termination | Which terms keep applying to them? |
| "Minimum Commitment" | Committed spend | What is owed if we exit early? |
| "Termination Assistance Services" | Exit help from the vendor | How long, and at what rates? |
| "return or delete Customer Data" | Data on exit | Within what period, and with certification? |
What are termination rights in a master services agreement?
They are the MSA and SOW provisions that state how the overall agreement or a specific statement of work can be ended, with what notice, at what cost, and what each party must do on exit.
