How to review an MSA with Search+

  1. Upload the MSA, every SOW and any amendments

What reading an MSA involves

Two layers of terms

The MSA holds the legal terms; each SOW or order form holds the commercial ones. Questions about price, deliverables and dates usually need the SOW.

Order of precedence

Most MSAs say which document wins in a conflict. Some let a SOW override the MSA only if it says so expressly, which changes how much a SOW can alter.

Change control

Scope rarely stays fixed. The change order process decides how new work is priced and who must approve it.

Risk allocation

Indemnities, the liability cap, insurance and IP terms usually sit in the MSA and apply across every SOW.

What is a master services agreement?

A master services agreement, or MSA, is a framework contract that sets the general legal terms between a customer and a service provider, so that individual projects can be ordered later through shorter statements of work or order forms.

A statement of work describes one specific project: its scope, deliverables, schedule and price. It usually incorporates the MSA's terms rather than repeating them.
