How to find assignment terms with Search+

What to look for in an assignment clause

Consent requirements

Many clauses forbid assignment without the other party's prior written consent. Some soften this by saying consent may not be unreasonably withheld or delayed, which changes how much leverage the other side has.

Permitted transfers

Common exceptions allow assignment without consent to an affiliate or to a buyer of all or most of the business. Check whether the exception is available to both parties or only to one.

Change of control

Some contracts treat a change in who owns or controls a party as an assignment, or give the other side a right to terminate when it happens. This can matter in an acquisition even when no document is formally transferred.

Rights and duties

Assigning rights, such as the right to be paid, and delegating duties, such as performing the services, are often handled differently. Look for separate wording on subcontracting and on who remains responsible for the work.

Successors and assigns

A clause stating that the agreement binds the parties' successors and permitted assigns works together with the assignment restriction. Read the two side by side.

What is an assignment clause?

An assignment clause is the contract term that controls whether and how a party may transfer its rights or obligations under the agreement to another person or company, including any consent that must be obtained and any transfers that are allowed automatically.

Assignment is different from novation. An assignment generally transfers rights, while a novation replaces a party altogether with the agreement of everyone involved, often through a separate document. Subcontracting is different again: the original party usually stays responsible for the work.
