How to compare contracts with Search+
- Upload every contract you want to weigh
Add the agreements to the same workspace: two supplier proposals, your template and the counterparty's draft, or this year's renewal and last year's signed copy. Give the files clear names so answers that cite them are easy to tell apart.
- Name the comparison criteria in Workspace Context
Write down the points you are comparing on, for example "Compare on liability cap, indemnity scope, termination for convenience, renewal notice and payment days. Name the contract for every point." Search+ applies that frame to every question in the workspace.
- Ask about one criterion per question
A single question such as "How do the liability caps differ?" keeps the answer focused and its citations easy to check. Open the citation from each contract before moving on to the next criterion.

Comparison points that matter in contracts
A cap is only comparable once you know what it is measured against and what sits outside it. Two caps with the same figure can differ widely if one excludes indemnities or data breaches from the limit.
Compare who indemnifies whom, for which kinds of claims, and whether the obligation includes defending them. One contract may cover only third-party intellectual property claims while another covers much more.
Notice periods, termination for convenience and automatic renewal decide how long you are committed. A better price matters less if the contract is hard to leave.
Compare payment days, late charges and any right to raise prices during the term or on renewal, because these change the real cost of each deal.
A different governing law or dispute forum can change how a disagreement plays out and where it is heard. Note them even when the commercial terms look similar.
