How to work through a proxy statement with Search+

What reading a proxy statement takes
A proxy usually opens with a summary and voting information, then sets out each proposal with the board's recommendation. Matching each proposal to its supporting section is the first job.
The compensation discussion and analysis explains the philosophy and decisions in prose, and the summary compensation table and related tables give the figures. Read both, since the narrative highlights what the committee wants you to see.
Director biographies, committee memberships, tenure and independence determinations show who oversees management. Look for directors with long tenure, many outside boards or ties to the company.
Each shareholder proposal is printed with its supporting statement followed by the board's opposing statement, if any. Read both sides before relying on the recommendation.
Tables of who owns significant stakes and disclosures of related person transactions often sit near the back. They can matter as much as the headline proposals.

What is a proxy statement?
A proxy statement is the document a public company provides to shareholders before a shareholder meeting, setting out the matters to be voted on, the board's recommendations and the information shareholders need to vote, including director details and executive compensation. In the US it is filed with the SEC, and the definitive version is commonly known by its form name, DEF 14A.
