Find out which decisions need your vote under the operating agreement
Voting rights in an operating agreement decide who has a say and how much: whether votes follow percentage interests or one vote per member, what majority ordinary decisions need, and which major decisions require a supermajority or unanimous consent. Some classes of units may have no vote at all. Ask Search+ how voting works and which decisions are reserved, and read the cited provisions.

How to review voting rights with Search+
- Upload the agreement and the member schedule
Add the operating agreement and the schedule of units or percentages. Voting power usually depends on the numbers in that schedule.
- Ask how votes are counted
Ask whether votes follow percentage interests or headcount, and whether any class of units is non-voting.
- Ask for the reserved matters
Ask which decisions need more than a simple majority, such as selling the company, admitting members or amending the agreement. Open the citations to read the list and thresholds.

What to look for in voting provisions
Percentage-based voting gives majority owners control; per-capita voting does not. The agreement decides which applies.
Lists of major decisions requiring higher approval are the main protection for minority members. Read the full list, not a summary.
Simple majority, supermajority and unanimity thresholds may each apply to different decisions. The percentage for a supermajority varies by agreement.
Notice, quorum and written consent rules affect how decisions are actually made. They may be in a separate article.
Who manages the LLC and what members vote on fit together. Ask across the agreement and Search+ cites each provision it combines.
