Understand what the auditor actually said, one cited paragraph at a time
An independent auditor's report is short, but its weight is in a few precise phrases. A single word such as "except for" turns a clean opinion into a qualified one, and a paragraph on material uncertainty can change how the whole set of accounts reads. Upload the audited financial statements or annual report to Search+, whether a PDF from the company or a scan of signed accounts, ask what kind of opinion was given and why, and open the citation to read the auditor's exact wording.

How to read an audit report with Search+
- Upload the report with the statements it covers
The auditor's report refers to specific statements and notes, so upload the full annual report or financial statements, as a PDF or a scanned signed copy, rather than the opinion page alone. Add the prior year's audited accounts if you want to see how the auditor's focus moved.
- Write the reading rules in Workspace Context
For example: "Quote the auditor's wording exactly, and when a key audit matter refers to a note, name the note". Search+ applies that standing instruction to every question in the workspace.
- Ask about the opinion, then each matter
Start with the type of opinion and the basis for it, then ask about each key or critical audit matter, going concern, and any emphasis of matter paragraph. Open each citation to read the paragraph in full.
Questions people ask about an audit report
Is the auditor's opinion unmodified, qualified, adverse, or a disclaimer, and what wording shows that?
If the opinion is qualified, what matter caused it, and which balances or disclosures does it affect?
Which key or critical audit matters does the auditor describe, and how did the audit address each one?
Does the report include a material uncertainty related to going concern, and what events or conditions does it point to?
Does the report or the audit committee section say how long this firm has audited the company, or mention a change of auditor?
What does the auditor say about the other information in the annual report outside the financial statements?
What reading an audit report takes
An unmodified, or clean, opinion says the statements are presented fairly. A qualified opinion carves out a specific matter, an adverse opinion says the statements are materially misstated, and a disclaimer means the auditor could not form an opinion.
Many listed company audit reports describe key audit matters, called critical audit matters in US public company audits. They are not findings of error; they are the areas the auditor considered most significant, and each usually points to a note in the accounts.
A material uncertainty related to going concern can appear in its own paragraph even when the opinion is unmodified. Read it with the directors' going concern statement.
An emphasis of matter paragraph draws attention to something already disclosed, such as a major lawsuit, without modifying the opinion. Distinguish it from a qualification before drawing conclusions.
The report says what was audited, the period, and the respective responsibilities of management and the auditor. Some reports also cover internal control over financial reporting; check whether yours does.
Search+ answers from the text of your accounts with inline citations, and opening one shows the auditor's paragraph so you read the precise phrasing. Signed accounts kept only as scans are read with OCR; around stamps, signatures or faint type, compare the cited excerpt with the original page.

What is an audit report?
An audit report, or independent auditor's report, is the statement an external auditor issues after examining a company's financial statements. It gives the auditor's opinion on whether the statements are fairly presented under the applicable financial reporting framework and explains the basis for that opinion.
